1.1 These terms and conditions ("Terms") govern the use of the cloud-based phone services, cloud-based Wi-Fi services, guest room TV solution, smart door lock with mobile check-in, and kiosk solution (collectively referred to as "Services") provided by Macrotech USA Inc. ("Macrotech", "we", "us", or "our"). By using our Services, you agree to be bound by these Terms.

2. Provision of Services

2.1 Macrotech USA Inc. provides cloud-based phone services, cloud-based Wi-Fi services, guest room TV solution, smart door lock with mobile check-in, and kiosk solution to hotels and other hospitality establishments ("Clients").

2.2 Our Services are provided on an "as is" and "as available" basis. We do not warrant that the Services will be uninterrupted, secure, or error-free.

2.3 Macrotech USA Inc. reserves the right to modify, suspend, or discontinue any aspect of the Services at any time without prior notice.

3. Use of Services

3.1 Clients must use the Services in compliance with all applicable laws and regulations.

3.2 Clients are responsible for maintaining the security of their account credentials and for any activity that occurs under their account.

3.3 Clients shall not use the Services for any unlawful or unauthorized purpose, including but not limited to transmitting any material that is defamatory, obscene, or otherwise objectionable.

4. Data Sharing and Data Privacy

4.1 Macrotech USA Inc. may collect, use, and share personal and non-personal data in accordance with our Privacy Policy. By using our Services, you consent to the collection, use, and sharing of your data as described in the Privacy Policy.

4.2 Macrotech USA Inc. shall take commercially reasonable measures to protect the privacy and security of client data. However, we cannot guarantee the security of client data transmitted over the internet.

5. E911 Liabilities

5.1 Clients acknowledge that the use of VoIP (Voice over Internet Protocol) services, including cloud-based phone services, may affect the availability and accuracy of E911 (Enhanced 911) services.

5.2 Clients agree to provide accurate and up-to-date address information for each endpoint device using the Services to enable proper E911 functionality.

5.3 Macrotech USA Inc. shall not be liable for any claims, damages, or losses arising from the failure of E911 services, unless caused by our gross negligence or willful misconduct.

6. Fees and Payments

6.1 Clients agree to pay all fees associated with the Services as outlined in the applicable pricing plan or contract.

6.2 Fees for the Services are subject to change upon prior notice from Macrotech USA Inc.

6.3 All fees are non-refundable once paid, unless otherwise specified in writing by Macrotech USA Inc.

7. Intellectual Property

7.1 Macrotech USA Inc. retains all right, title, and interest in and to the Services, including all intellectual property rights.

7.2 The trademarks "CloudExt," "Macrotech," and "GuestXP" are the exclusive property of Macrotech USA Inc. Clients may not use these trademarks without prior written consent from Macrotech USA Inc.

8. Limitation of Liability

8.1 To the extent permitted by law, Macrotech USA Inc. shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the use of the Services.

8.2 In no event shall Macrotech USA Inc.'s total liability to any Client exceed the amount paid by the Client for the Services during the twelve (12) months preceding the claim.

9. Governing Law

9.1 These Terms shall be governed by and construed in accordance with the laws of the State of [Your State], without regard to its conflict of law principles.
